The judgment of the Court of Bologna recognizes the shareholder legitimacy to exercise the right of withdrawal pursuant to art. 2437, 1st par., lett. g) c.c. in the event of an Articles amendment affecting the shareholder’s patrimonial prerogatives, without deepening the reasons. The term “participation rights” must be understood as limited only to the profit rights, as the administrative ones, with the exception of the right to vote, are governed by mandatory rules. The right of withdrawal also does not apply to amendments that affect the subjective sphere of the shareholder, like the ability to adopt a corporate resolution as a consequence of the number of shares owned by the individual shareholder. The paper continues by adhering to the decision of the Court of Bologna where it states that the withdrawal notice does not need to contain the reasons behind the will to leave the company and where it applies the redemption criterion of the “possible market value” only when there are significant negotiations, capable of defining an effective and real value of the share.
La modifica dello statuto incidente sulle prerogative di carattere patrimoniale del socio, con particolare riguardo al momento della destinazione degli utili, rientra nell’ambito applicativo della norma di cui all’art. 2437, 1° comma, lett. g. c.c., configurandosi come condizione sostanziale idonea a giustificare l’exit del socio. La comunicazione di recesso non deve necessariamente indicare i diritti asseritamente incisi, né il punto specifico della delibera che ha indotto il socio a recedere. La liquidazione delle azioni del socio deve avvenire utilizzando il criterio più adatto a «catturare» il valore attuale della società e mediante il valore di mercato, solo in via residuale, allorquando gli scambi siano significativi e in grado di definire un valore oggettivo del titolo.
