The paper analyses the decision of the Court of Milan concerning the liquidation of shares in an Italian popular bank (banca popolare) following the death of a shareholder. Having identified the fair value of the shareholding as the mandatory core of Article 2437-ter of the Civil Code, the comment agrees with the outcome of the judgment, while considering its reasoning insufficient: the statutory criterion based on the subscription price of newly issued shares is legitimate, insofar as it is capable of expressing an effective value, whereas “accounting parity” is not, if understood as nominal value. The solution is then assessed in light of prudential regulation, which makes reimbursement subject to supervisory authori-sation and to the preservation of the bank’s capital adequacy.
Il commento analizza la decisione del Tribunale di Milano sulla liquidazione delle azioni di una banca po-polare in caso di morte del socio. Individuato nel fair value della partecipazione il nucleo inderogabile dell’art. 2437-ter c.c., si condivide l’esito della sentenza, pur ritenendone insufficiente la motivazione: è legittimo il criterio statutario fondato sul prezzo di sottoscrizione delle nuove azioni, in quanto idoneo a esprimere un valore effettivo, mentre non lo è la “parità contabile” intesa come valore nominale. La so-luzione è poi verificata alla luce della disciplina prudenziale, che subordina il rimborso all’autorizzazione di vigilanza e al mantenimento dell’adeguatezza patrimoniale dell’intermediario.
