The paper addresses the interpretative issues around the use of telematic means for the adoption of shareholders’ decisions of a private limited liability company, in a constant comparison with the rules governing the general meeting of the public limited liability company. It will be verified whether and to what extent the emergency legislation, adopted during the Covid-19 pandemic, is suitable for influencing the provisions of the civil code. The analysis aims to highlight the powers of the directors with respect to the methods of convocation and the rights of the shareholders, making a fundamental separation between tools that allow “limited” remote participation, meaning with limitation of the right of intervention, from the tools that guarantee respect for “full” collegiality. The legitimacy, possible limits and protections with respect to “limited” remote intervention, “full” remote intervention and the exclusively virtual general meeting will therefore be ascertained
Il presente contributo affronta le questioni interpretative attorno all’utilizzo degli strumenti telematici per l’assunzione delle decisioni dei soci di s.r.l., in un confronto costante con la disciplina dell’assemblea della S.p.A., verificando se ed in che misura la legislazione emergenziale, adottata durante la pandemia da Covid-19, sia idonea ad influenzare la lettura delle norme del codice civile. L’analisi si propone di mettere in luce i poteri degli amministratori rispetto alle modalità di convocazione e i diritti dei soci, operando una distinzione di fondo tra strumenti che consentono una partecipazione a distanza “attenuata”, ovvero con limitazione del diritto di intervento, dagli strumenti che garantiscono il rispetto di una collegialità piena. Si accerteranno, quindi, la legittimità, gli eventuali limiti e le tutele rispetto all’intervento a distanza “limitato”, quello a distanza “pieno” e all’assemblea esclusivamente virtuale.
