The decision of the Sezioni unite no. 41994/2021, on the nullity of the omnibus sureties reproducing the clauses referred to in Articles 2, 6 and 8 of the ABI Scheme of 2003, offers an opportunity to reflect on the repercussions of such ruling on the "state of the art" relating to the consequences of the anticompetitive agreement on the so-called "downstream contracts". In this sense, the Author: i) clarifies the diversity of the solution offered by the 2021 ruling with respect to that offered, again by the Sezioni unite, in ruling no. 2207/2005; ii) investigates the consequences of the 2021 ruling on the regulatory framework of Legislative Decree no. 3/2017 which, as is well known, implemented the directive 2014/104/EU and which appears to be the natural outcome of the idea that reduces private antitrust enforcement to "compensation only".
La decisione delle Sezioni unite n. 41994/2021, sulla nullità delle fideiussioni omnibus riproducenti le clausole di cui artt. 2, 6 e 8 dello Schema ABI del 2003, offre l’occasione per riflettere sulle ripercussioni di tale sentenza sullo “stato dell’arte” relativo alle conseguenze dell’intesa illecita sui c.d. “contratti a valle”. In questo senso, l’Autore: i) chiarisce la diversità della soluzione offerta dalla pronuncia del 2021 rispetto a quella, sempre a sezioni unite, n. 2207/2005; ii) indaga le conseguenze della decisione del 2021 sull’impianto normativo del d.lgs. 3/2017 che, com’è noto, ha dato attuazione alla dir. 2014/104/UE e che appare l’esito naturale dell’idea che riduce la tutela privata antitrust al “solo risarcimento”.
